Estonian company while living in Spain: when Spain treats it as tax resident

A company incorporated in Estonia can be treated as tax resident in Spain if its place of effective management is in Spain, meaning the key business decisions are taken here. Incorporating abroad does not by itself guarantee that it is taxed abroad.

Informational guide reviewed in October 2026. Check current rules and your specific case before deciding.

What Spanish law looks at

The Spanish Corporate Income Tax Act treats an entity as resident in Spain when it was incorporated under Spanish law, has its registered office in Spain or has its place of effective management in Spanish territory. An OÜ meets neither of the first two, but the third is the one that gets discussed.

Signs that usually weigh

  • Where the people running the company live and work.
  • Where important contracts are signed and decisions are made.
  • Whether the real activity, staff and resources are in Spain.
  • Whether the company exists only on paper in Estonia.

Other rules worth checking

Even if the company were considered Estonian resident, Spain has international tax transparency rules that can attribute certain income of foreign entities to a Spanish-resident shareholder. And what you receive as salary or dividends is taxed in your country of residence.

What to do before opening an OÜ

  • Define where you will live and where the company will be managed.
  • Document the activity and the real substance it will have in Estonia.
  • Compare with staying a sole trader: e-Residency vs Spanish autónomo.
